Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern the relationship between WebPunkz ("we", "us", "our") and any individual or business ("you", "the client") that uses our services or website. These Terms, together with any service agreement or statement of work, form the entire agreement between us.

Where a signed service agreement exists between WebPunkz and a client, the terms of that service agreement take precedence over these general Terms in the event of any conflict.

2. Our Services

WebPunkz provides intelligent marketing systems for trades and service businesses, including but not limited to:

• Leased smart websites (The Launchpad, Growth, and Pro packages)
• The WebPunkz Lead Machine — AI-powered follow-up, CRM, and booking automation
• Done For You Meta Ads management (Essential, Growth, and Scale packages)
• The Full System — combining website, automation, and paid advertising
• Free Lead System Audits (as described on our website)

The specific scope of services, deliverables, and timelines for each client engagement are defined in the relevant service agreement or package terms confirmed at the point of purchase.

3. The Leased Website Model

3.1 Ownership

All websites built by WebPunkz are provided on a leased basis. WebPunkz retains full ownership of the website infrastructure, codebase, design assets, and hosting environment at all times. The client receives a licence to use the website for the duration of the active subscription.

3.2 What is included

The monthly lease fee covers the use of the website and, where applicable, includes:

• Web hosting on WebPunkz managed infrastructure
• Domain name registration and renewal
• SSL certificate and security monitoring
• Ongoing maintenance, updates, and performance monitoring
• Reasonable content updates as agreed at onboarding
• Support as specified in the relevant package

3.3 Client data

All client-generated data — including lead data, CRM records, enquiry history, and form submissions — belongs to the client. In the event of cancellation, WebPunkz will provide a full data export to the client within 14 working days.

3.4 On cancellation

Upon cancellation of the lease, the client's access to the website and associated systems will be terminated at the end of the notice period. The website domain, if registered by WebPunkz on the client's behalf, will be transferred to the client upon request. Clients wishing to continue operating a website will need to arrange an alternative build, as the WebPunkz infrastructure is not transferable.

4. Payment Terms

4.1 Setup fees

Where a one-time setup fee applies, this is payable in full before work commences. Setup fees are non-refundable once work has begun, except where WebPunkz has materially failed to deliver the agreed scope.

4.2 Monthly subscription fees

Monthly fees are billed in advance on the same date each month. Payment is due within 7 days of invoice. WebPunkz reserves the right to suspend services where payment is more than 14 days overdue, and to terminate the agreement where payment is more than 30 days overdue.

4.3 Meta Ads — ad spend

Ad spend for Meta advertising campaigns is paid directly by the client to Meta Platforms Inc. WebPunkz never handles client ad budgets. The WebPunkz management fee is entirely separate from and in addition to any ad spend. Clients are solely responsible for maintaining sufficient balance in their Meta ad account.

4.4 Price changes

WebPunkz may adjust monthly fees with a minimum of 30 days written notice to the client. Price changes do not apply retroactively to the current billing period.

4.5 Late payment

WebPunkz reserves the right to charge interest on overdue invoices at 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

5. Cancellation & Termination

5.1 Notice period

Either party may terminate the service agreement by providing written notice to the other. The required notice period is:

• Leased websites (Launchpad / Growth): 30 days written notice, provided the initial 12-month introductory pricing period has elapsed
• The Lead Machine: 30 days written notice after the initial setup period
• Done For You Meta Ads: 30 days written notice
• The Full System: 30 days written notice after the initial setup period

5.2 During the introductory period

Where introductory pricing has been offered (typically for the first 12 months), early termination within this period will result in the client being charged at the standard rate for the months already served, with the introductory discount forfeited.

5.3 Termination for cause

WebPunkz may terminate the agreement immediately and without notice where:

• The client uses our services for unlawful, abusive, or harmful purposes
• The client fails to pay outstanding invoices within 30 days of the due date
• The client provides materially false information at the point of engagement

6. Client Obligations

To enable WebPunkz to deliver services effectively, the client agrees to:

• Provide accurate, truthful information at the time of onboarding and throughout the engagement
• Supply requested assets (logo, images, service details) within agreed timelines — delays by the client may affect delivery timelines
• Review and approve deliverables within 10 working days of submission — extended delay may be treated as approval
• Maintain access to any required third-party accounts (e.g. Google Business Profile, Meta Business Manager) where relevant to the service
• Not use any WebPunkz-built asset in a way that violates applicable law or platform policies
• Keep payment details up to date to ensure uninterrupted service

7. Intellectual Property

7.1 WebPunkz IP

All website designs, templates, automation workflows, system configurations, and codebase developed by WebPunkz remain the intellectual property of WebPunkz. The client receives a licence to use the website and systems during the active subscription — this licence does not transfer ownership.

7.2 Client-provided content

Content provided by the client — including logos, photographs, and business information — remains the property of the client. The client grants WebPunkz a licence to use this content solely for the purpose of delivering the agreed services.

7.3 Copy and content created by WebPunkz

Where WebPunkz creates original written copy for a client's website or campaigns, this content is licensed to the client for use on that site during the active subscription. Upon termination, the client may request a copy of all written content created by WebPunkz for their business.

8. Limitation of Liability

8.1 Service performance

WebPunkz makes reasonable efforts to deliver services as described and to maintain website uptime and system performance. However, WebPunkz does not guarantee specific business outcomes, lead volumes, or revenue results. Marketing results depend on factors including market conditions, competition, and ad spend — many of which are outside our control.

8.2 Limitation

To the maximum extent permitted by law, WebPunkz's total liability to the client for any claim arising from our services shall not exceed the total fees paid by the client in the three months preceding the claim. WebPunkz shall not be liable for indirect, consequential, or special losses including loss of profits, loss of data, or loss of business.

8.3 Force majeure

WebPunkz shall not be liable for delays or failures caused by circumstances beyond our reasonable control, including platform outages (Meta, Google), natural disasters, or failures of third-party service providers.

8.4 Nothing in these Terms limits liability

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by English law.

9. Meta Ads — Specific Terms

• The client is solely responsible for maintaining their Meta ad account and ensuring sufficient ad budget is available. Campaigns paused due to insufficient funds are not the responsibility of WebPunkz.
• All advertising must comply with Meta's Advertising Policies. WebPunkz will not run campaigns that violate platform rules, regardless of client instruction.
• WebPunkz will make reasonable efforts to achieve agreed performance targets but cannot guarantee specific cost-per-lead, lead volumes, or return on ad spend due to the variable nature of advertising platforms.
• Creative assets — including ad copy and images — produced by WebPunkz for campaigns are licensed to the client for use during the active service period.
• Access to the client's Meta Business Manager account is required to run campaigns. The client grants WebPunkz partner access for this purpose, which is revoked upon termination.

10. Data & Privacy

The collection and use of personal data in connection with our services is governed by our Privacy Policy. Where WebPunkz processes personal data on behalf of a client as part of CRM or automation services, WebPunkz acts as a data processor and the client acts as data controller. A Data Processing Agreement is available upon request.

11. Disputes

In the event of a dispute arising from these Terms or our services, both parties agree to attempt to resolve the matter informally in the first instance. If informal resolution is not possible within 30 days, the dispute may be referred to mediation before any legal proceedings are commenced.

These Terms are governed by the laws of England and Wales. Any legal proceedings shall be subject to the exclusive jurisdiction of the English courts.

12. Changes to These Terms

WebPunkz may update these Terms from time to time. The "Last updated" date at the top of this page reflects when changes were last made. Active clients will be notified of material changes by email with a minimum of 30 days notice. Continued use of our services following notification constitutes acceptance of the revised terms.
